1. Acceptance of Terms

By engaging Cold Calling Unlimited (1059105 B.C. LTD) ("Company," "we," "us," or "our") for services, you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Cold Calling Unlimited.

2. Services

Cold Calling Unlimited provides cold calling and telemarketing services to businesses. Our services include but are not limited to:

  • Outbound cold calling campaigns
  • Lead generation services
  • Appointment setting
  • Customer outreach programs
  • Sales support services

3. Payment Terms

3.1 Deposit Requirement

A 50% deposit is required upfront before any services commence. This deposit secures your booking and covers initial setup costs.

3.2 Invoice Payment

  • All invoices are due within 3 business days of issue date
  • Payment methods accepted include credit card, paypal, bank transfer, certified cheque, or other pre-approved methods
  • Late payments may incur a service charge of 2% per month (24% annually)
  • Services may be suspended for accounts with overdue balances exceeding 30 days

3.3 Pricing

  • Service rates are as agreed upon in writing or as per our current rate schedule
  • Prices are subject to change with 30 days written notice
  • All prices are in US dollars unless otherwise specified

4. List Liability and Client Responsibilities

4.1 Client-Provided Lists

The Client acknowledges and agrees that:

  • All contact lists, databases, and calling lists are provided by the Client
  • Cold Calling Unlimited is NOT responsible for the accuracy, completeness, or legality of any lists provided by the Client
  • The Client warrants that all provided lists comply with applicable privacy and anti-spam legislation

4.2 Compliance Responsibility

The Client is solely responsible for ensuring that:

  • All contact information has been obtained legally and ethically
  • Appropriate consents have been obtained where required
  • All provided lists comply with Canada's Anti-Spam Legislation (CASL), Personal Information Protection and Electronic Documents Act (PIPEDA), and British Columbia's Personal Information Protection Act (PIPA)
  • The Client has the right to contact all individuals on provided lists

4.3 Indemnification

The Client agrees to indemnify and hold harmless Cold Calling Unlimited from any claims, damages, or legal actions arising from the use of Client-provided contact lists.

5. Privacy and Confidentiality

5.1 Confidential Information

Both parties agree to maintain the confidentiality of all proprietary information shared during the course of business.

5.2 Data Protection

We implement reasonable security measures to protect client data and comply with applicable privacy legislation in British Columbia and Canada.

6. Service Standards and Limitations

6.1 Best Efforts

Cold Calling Unlimited will use commercially reasonable efforts to provide services in a professional manner.

6.2 No Guarantees

We do not guarantee specific results, response rates, or conversion rates from our calling campaigns.

6.3 Service Modifications

We reserve the right to modify our service offerings with reasonable notice to clients.

7. Limitation of Liability

7.1 Maximum Liability

Cold Calling Unlimited's total liability for any claim shall not exceed the total amount paid by the Client for services in the 12 months preceding the claim.

7.2 Excluded Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

8. Termination

8.1 Termination by Either Party

Either party may terminate services with 30 days written notice.

8.2 Immediate Termination

We reserve the right to immediately terminate services if:

  • Payment terms are violated
  • Client provides illegal or non-compliant contact lists
  • Client requests activities that violate applicable laws or regulations

8.3 Effect of Termination

Upon termination, all outstanding invoices become immediately due and payable.

9. Compliance with Laws

Both parties agree to comply with all applicable federal, provincial, and local laws, including but not limited to:

  • Canada's Anti-Spam Legislation (CASL)
  • Personal Information Protection and Electronic Documents Act (PIPEDA)
  • British Columbia Personal Information Protection Act (PIPA)
  • Canadian Radio-television and Telecommunications Commission (CRTC) regulations
  • National Do Not Call List requirements

10. Dispute Resolution

10.1 Governing Law

These Terms shall be governed by the laws of British Columbia, Canada.

10.2 Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of British Columbia.

10.3 Mediation

The parties agree to attempt resolution of disputes through mediation before pursuing litigation.

11. General Provisions

11.1 Entire Agreement

These Terms constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements.

11.2 Amendments

These Terms may only be amended in writing, signed by both parties.

11.3 Severability

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11.4 Force Majeure

Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control.
